Register a business in Ghana
You'll need
- A business name that isn't taken
- Ghana Card
- Form A (sole proprietorship) or Form 3 and a constitution (company)
- For a company: 2 or more directors, a secretary and an auditor
-
1
Pick the right type
A sole proprietorship (business name) has one owner who makes all decisions and carries all losses. In a company limited by shares, shareholders' liability is limited to unpaid shares, and you need at least two directors.
-
2
Check your name is free
ORC checks that your name isn't the same as, or similar to, an existing name, and isn't misleading. Names in other languages must be explained. The Registrar gives the final approval.
-
3
Sole proprietorship: submit Form A

Get Form A at the in-house bank or download it from ORC Forms. Hand it in signed at the Business Names counter and pay GH₵130 at the in-house bank.
-
4
Company: submit Form 3 and pay

Submit Form 3 and the constitution, an auditor's consent letter (ICAG-licensed chartered accountant), each director's statutory declaration and consent, the secretary's consent, stated capital and beneficial ownership details. Pay GH₵585 plus 1% capital duty on stated capital.
Statutory declarations must be witnessed by a Commissioner for Oaths or Notary Public. -
5
Get your certificate
The Registrar approves and issues your Certificate of Registration (sole proprietorship) or Certificate of Incorporation (company), with certified copies of your forms.
Need it faster? The Prestige/VIP service costs extra: GH₵520 for a business name, GH₵1,300 for a company. -
6
Get your business TIN
GRA issues your business TIN at its TIN Centre on the Registrar-General's Department premises. See Get a TIN.
-
7
Renew every year
Renew a business name every year for GH₵70, or dial *222# and choose ORC. Companies file annual returns for GH₵175 with financial statements, first 18 months after incorporation, then every year.
Late annual returns cost GH₵1,000 in penalties (1–4 years).
